These Referral Program Terms (the "Referral Terms") govern participation in the Sleeping Trade referral programme by which active subscribers may refer new customers to the Service in exchange for monetary rewards. The programme is offered by Sleeping Trade LLC (the "Company", "we" or "us") and is open only to subscribers who maintain an active, paid subscription at the time a referral is made. By participating in the referral programme, you confirm that you have read, understood and agree to be bound by these Referral Terms, our Terms of Service, our Privacy Policy, our Disclaimer, our Risk Disclosure and any operating procedures the Company may publish from time to time.

The programme has been designed in line with the spirit of the SEBI (Investment Advisers) Regulations, 2013, the SEBI (Research Analysts) Regulations, 2014, the Advertising Standards Council of India (ASCI) Code for Self-Regulation of Advertising Content in India including the ASCI Guidelines for Influencer Advertising in Digital Media, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and the relevant provisions of the Income Tax Act, 1961 dealing with tax-deductible-at-source obligations on commission and brokerage. Where any ambiguity exists between these Referral Terms and applicable law, the law prevails and the Company will update the programme accordingly.

These Referral Program Terms are supplemental to our Terms of Service, Privacy Policy, Risk Disclosure, and Disclaimer. Where there is any conflict, the Terms of Service govern, except that the specific provisions of these Referral Program Terms govern for matters exclusive to the referral program.

8. Why The Program Exists

India's retail F&O market is dominated by paid-tip channels that promise specific profit amounts, fabricate testimonials, and use cold direct messages on WhatsApp and Telegram to recruit subscribers. SEBI has repeatedly warned the public against these practices and has, in several cases, ordered the disgorgement of fees collected from such activity. The Sleeping Trade referral programme is structured to reward genuine, disclosed, ASCI-compliant promotion of the Service by real subscribers — not to reproduce the practices SEBI has flagged. The 20% revenue share is paid only on the first six months of a referred customer's subscription so that referrers are incentivised to refer people for whom the Service is actually a fit, and not to maximise short-term churn.

9. Disclosure And Anti-Misrepresentation

Every public post, story, reel, video, broadcast, group message, or other communication promoting the Service must include a clear and prominent disclosure — for example, the labels "paid partnership", "#ad", "#sponsored", "earning referral fee" or the equivalent in the local language. The disclosure must appear in a manner that an ordinary reader would notice on first contact with the content; it cannot be buried in trailing hashtags, hidden behind a "more" toggle, or placed at the end of a long video without on-screen attribution.

Referrers must not state or imply any specific return, profit, or success rate when promoting the Service. The Service's results page sets out target ranges, and these are explicitly described there as targets and not guarantees. Referrers must not say "you will make X% per month", must not claim that the Service is risk-free, must not promise particular monthly income from a particular capital amount, and must not use phrases such as "guaranteed", "assured returns", "no-loss strategy", "doubling capital" or similar guarantees. Material that violates this clause may result in termination from the programme and clawback of unpaid rewards.

10. Audit, Records And Grievance Redressal

The Company maintains records of all referrals, conversions, payouts and any complaints received for a minimum of five years from the date of the relevant transaction, in line with the document-retention norms applied by Indian regulated intermediaries. Referrers may request a written statement of their account at any time by writing to referrals@sleepingtrade.in. Disputes about specific referral attributions, payout amounts or programme termination decisions are addressed first by the Referral Programme Manager (response within seven working days), then escalated to the Grievance Officer if unresolved (response within fifteen working days, as required by the IT (Intermediary Guidelines) Rules), and may finally be filed before the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
