Status: The referral program is not yet live. These terms will apply once the program launches. Current Sleeping Trade subscribers will be notified when it opens.
1. Who Can Refer
- Active Sleeping Trade subscribers in good standing.
- Must have a valid Indian bank account for payouts.
- Referrers must disclose their relationship with Sleeping Trade when promoting the Service, in line with the Advertising Standards Council of India (ASCI) Code for Self-Regulation of Advertising Content in India, including the ASCI Influencer Guidelines.
2. Referral Rewards
- 20% of the first 6 months of the referred customer's subscription fees.
- Paid monthly, 30 days after the referred customer's payment clears.
- Subject to the referred customer not cancelling (within commitment exceptions) or charging back.
3. Referrer Obligations
- Make no false or misleading claims about the Service.
- Do not guarantee returns of any kind.
- Do not promise specific profit amounts or outcomes.
- Disclose "paid partnership", "#ad", "#sponsored", or equivalent ASCI-compliant labels on all social media posts promoting the Service.
- Do not spam potential customers via unsolicited messages, cold DMs, or bulk forwards.
- Do not target vulnerable audiences, including seniors, unemployed individuals, students, or persons who have disclosed financial distress.
4. Tax Implications
- Tax Deducted at Source (TDS) of 10% will be applied to payouts as required under the Income Tax Act.
- Referrers will receive Form 16A annually reflecting TDS deducted.
- Referrers are solely responsible for reporting referral income and completing their own tax filings. We do not provide tax advice.
5. Prohibited Activities
- Self-referrals (same PAN or shared payment method).
- Referring accounts that immediately cancel or are deliberately set up to collect rewards.
- Using fake social proof, fabricated testimonials, or stock imagery presented as real users.
- Any activity that violates SEBI regulations, the ASCI Code, the Consumer Protection Act, 2019, or any applicable Indian law.
6. Termination
- We reserve the right to terminate any referrer's participation at any time, including for violations of these terms or the ASCI Code.
- Earned but unpaid referral fees at the time of termination will be paid out within 30 days, subject to TDS and verification.
- We may withhold or reverse payouts associated with fraudulent or prohibited activity.
7. Relationship to Other Terms
These Referral Program Terms are supplemental to our Terms of Service, Privacy Policy, Risk Disclosure, and Disclaimer. Where there is any conflict, the Terms of Service govern, except that the specific provisions of these Referral Program Terms govern for matters exclusive to the referral program.
